Terms of Service

You must provide accurate information when creating an account and keep your credentials secure. You are responsible for all activity that happens under your account. Notify us at admin@pactai.app if you suspect unauthorized access.

The Service is intended for business use by people 18 or older. If you create an account on behalf of a company, you represent that you have authority to bind that company to these Terms.

You keep all rights to the files, data, and content you upload to Helm (‘Your Content’). You grant PactAI a limited license to host, process, and display Your Content solely to operate the Service for you and your teammates.

You are responsible for making sure you have the right to upload Your Content and that doing so does not violate any law or third-party right. Do not upload content that is illegal, infringing, malicious, or that you do not have permission to share.

You agree not to:

• Use the Service to violate any law or the rights of others.
• Attempt to gain unauthorized access to other customers' data or to our systems.
• Reverse engineer, scrape, or interfere with the Service.
• Use the Service to build a competing product or to train a machine-learning model.
• Upload malware or use the Service to distribute spam.

Paid plans are billed in advance on a monthly or annual basis. Fees are non-refundable except where required by law. You can cancel at any time; cancellation stops future renewals but does not refund the current billing period.

If we change pricing for your plan, we will give you at least 30 days' notice before the change takes effect.

You can cancel your subscription at any time. Your uploaded files, chat history, and integration data are retained for a 90-day grace period after cancellation, then permanently deleted from active systems. You can request earlier deletion by emailing admin@pactai.app.

Helm connects to third-party services (such as Shopify and QuickBooks) at your direction. Your use of those services is governed by their own terms. PactAI is not responsible for the availability, accuracy, or actions of third-party services.

Helm uses artificial intelligence to analyze Your Content and generate answers, summaries, reports, and other output (‘Output’). AI can be wrong. You are responsible for reviewing Output before relying on it for business, financial, legal, tax, medical, or other decisions. PactAI does not warrant that Output will be accurate, complete, or fit for any particular purpose.

We treat Your Content as confidential and apply reasonable technical and organizational safeguards to protect it, including customer data isolation, encryption in transit and at rest, and least-privilege access controls. See our Privacy Policy for details.

We may suspend or terminate your account if you materially breach these Terms, if required by law, or if your use poses a security or legal risk to the Service or other customers. Where practical, we will give you notice and an opportunity to cure.

The Service is provided ‘as is’ and ‘as available.’ To the maximum extent permitted by law, PactAI disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, PactAI's total liability for any claim arising out of or relating to the Service is limited to the amount you paid us in the twelve (12) months before the event giving rise to the claim. PactAI is not liable for indirect, incidental, consequential, or punitive damages, or for lost profits or lost data.

You agree to indemnify and hold PactAI harmless from any claim arising out of Your Content, your use of the Service in violation of these Terms, or your violation of any law or third-party right.

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Texas, and you consent to personal jurisdiction there.

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service before the change takes effect. Your continued use of the Service after a change means you accept the updated Terms.
